VERIMARX TERMS AND CONDITIONS
Effective Date: February 5, 2026
These Terms and Conditions (“Terms”) govern your access to and use of the VeriMarx website, platform, application programming interfaces (APIs), tools, reports, artificial intelligence systems, software, and related services (collectively, the “Service”).
By creating an account, submitting content, purchasing services, accessing the API, or otherwise using the Service, you agree to be legally bound by these Terms.
If you do not agree, do not use the Service.
1. About VeriMarx
VeriMarx provides AI-based analytical tools that generate informational and probabilistic reports based on user-submitted images and related materials.
IMPORTANT: VeriMarx is not an authentication service.
VeriMarx does not:
Certify authenticity
Verify provenance
Provide appraisals
Issue certificates of authenticity
Make definitive “real or fake” determinations
All outputs are probabilistic, analytical, and informational only and may be incomplete or inaccurate.
2. Binding Acceptance and Acknowledgments
By using the Service, you expressly acknowledge and agree:
VeriMarx reports are probabilistic and informational only.
You will not rely solely on reports for commercial, auction, legal, valuation, insurance, or fraud-related decisions.
VeriMarx is not a professional authentication provider.
You agree to binding arbitration and class action waiver.
You grant VeriMarx the rights described in Section 4.
Submission of content constitutes an electronic signature and binding agreement.
3. Eligibility and Accounts
You must be at least 18 years old.
You agree to:
Provide accurate account information
Maintain credential confidentiality
Accept responsibility for activity under your account
VeriMarx may suspend or terminate accounts at its discretion.
4. Submissions and License Grant
4.1 User Representations
By submitting content, you represent:
You have the legal right to submit it
It does not infringe third-party rights
It is not defamatory or unlawful
You understand reports are probabilistic
4.2 License to Submitted Images
You retain ownership of submitted images.
However, you grant VeriMarx a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to:
Store, reproduce, and modify images
Create derivative works
Use images for AI and machine learning training
Include images in datasets
Use images for commercial, research, marketing, and product development purposes
This license survives termination.
You waive any claim to compensation.
4.3 Platform-Generated Data
All analytical outputs, model improvements, derived metadata, scoring systems, and system enhancements are exclusively owned by VeriMarx.
5. Fees and Refunds
All fees are:
Disclosed at checkout
Due immediately
Non-refundable
Chargebacks are waived except where prohibited by law.
6. No Professional Advice / No Reliance
VeriMarx reports are not expert opinions.
You agree not to rely solely on them for:
Buying or selling memorabilia
Auction determinations
Insurance claims
Litigation
Fraud allegations
VeriMarx is a decision-support tool only.
7. Defamation and Misuse Restrictions
You agree not to:
Publish reports as definitive proof of fraud
Accuse third parties based solely on outputs
Misrepresent probabilistic results as factual conclusions
You are solely responsible for your use of reports.
8. Prohibited Uses
You may not:
Use scraping tools, bots, AI agents, or automation to extract data
Reverse engineer or attempt to discover source code
Bypass security or rate limits
Use outputs to build competing systems
Violate applicable laws
Unauthorized automated access is strictly prohibited.
9. No Reverse Engineering of AI Models (Standalone Clause)
You may not:
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the structure, training data, model weights, algorithms, or decision logic of VeriMarx AI systems;
Use prompt engineering, systematic querying, model probing, adversarial inputs, or output analysis to reconstruct underlying models;
Attempt to benchmark, replicate, or create substantially similar AI systems using Service outputs.
All AI systems, architectures, methodologies, and training data are proprietary trade secrets of VeriMarx.
10. Artificial Intelligence Usage Restrictions
Except with written authorization, you may not use any Service content or outputs to:
Train machine learning systems
Fine-tune large language models
Build datasets
Develop competing analytics tools
11. API Access and Commercial Licensing
If you access the VeriMarx API:
You receive a limited, non-exclusive, non-transferable license for internal business use only.
You may not resell, sublicense, or redistribute API access without written agreement.
API outputs may not be used to create competing services.
VeriMarx may implement rate limits and revoke API access at its discretion.
Enterprise API use may require a separate executed agreement.
Violation of API restrictions may result in immediate termination.
12. Auction House Enterprise Addendum
This section applies to auction houses, dealers, and commercial marketplaces (“Enterprise Users”).
Enterprise Users acknowledge:
VeriMarx does not replace expert authentication.
Reports must not be marketed as certification.
Enterprise Users remain solely responsible for representations made to buyers.
Enterprise Users agree to indemnify VeriMarx against claims arising from:
Buyer disputes
Fraud allegations
Misrepresentation claims
Consumer protection claims
VeriMarx may require separate enterprise agreements for high-volume use.
13. Intellectual Property
All software, AI models, branding, reports, systems, and databases are owned exclusively by VeriMarx.
No ownership rights are granted to users.
14. DMCA and IP Infringement Policy
If you believe content infringes your rights, submit written notice including:

Identification of copyrighted work
Location of infringing material
Contact information
Good-faith statement
Statement under penalty of perjury

VeriMarx may remove allegedly infringing material and terminate repeat infringers.
Counter-notices must include consent to jurisdiction in Ontario and applicable U.S. federal court.
15. Privacy and International Data Transfers
Use is subject to the Privacy Policy.
EEA/UK data transfers rely on Standard Contractual Clauses.
VeriMarx does not sell personal information.
16. Disclaimers
THE SERVICE IS PROVIDED “AS IS.”
VeriMarx disclaims all warranties, including merchantability and fitness for a particular purpose.
17. Limitation of Liability
To the maximum extent permitted by law:
VeriMarx shall not be liable for:
Lost profits
Reputational harm
Fraud-related business losses
Consequential or punitive damages
Total liability shall not exceed amounts paid in the preceding twelve (12) months.
18. Indemnification (Enhanced Fraud Protection)
You agree to defend, indemnify, and hold harmless VeriMarx from any claims, losses, damages, liabilities, penalties, regulatory actions, investigations, settlements, or legal fees arising out of:
Your reliance on reports
Fraud accusations made by you or third parties
Commercial transactions involving analyzed items
Auction disputes
Consumer protection claims
Alleged misrepresentations
Violations of law
This obligation applies even if claims allege negligence by VeriMarx, except where prohibited by law.
19. Governing Law and Binding Arbitration
These Terms are governed by Ontario law and, for U.S. users, the Federal Arbitration Act.
All disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA).
Individual claims only
Class actions waived
Jury trial waived
Mass arbitration batching (25+ similar claims) shall proceed in staged batches of 10.
U.S. users may opt out within 30 days of first acceptance.
20. Termination
VeriMarx may suspend or terminate access at any time.
Sections relating to IP, AI protections, arbitration, and indemnity survive termination.
21. Changes to Terms
Continued use after updates constitutes acceptance.
